1. PARTIES AND ACCEPTANCE OF TERMS
1.1 Who These Terms Bind
These Website Terms of Use ("these Terms") constitute a legally binding agreement between Land Republic Limited, a company incorporated under the Companies and Allied Matters Act (CAMA) 2020 with its registered address in Nigeria ("Land Republic", "the Company", "we", "us", or "our"), and every person or entity ("you", "your", or "User") who accesses, browses, registers on, or uses the website located at www.landrepublic.co and all associated subdomains, mobile applications, and digital services operated by Land Republic (collectively, "the Website").
1.2 How Acceptance Occurs
These Terms constitute an electronic contract between you and Land Republic pursuant to the principles of electronic contracting recognised under the Evidence Act 2011. Your acceptance is formed, and these Terms become binding on you, upon the occurrence of any of the following:
- Accessing or browsing any page of the Website.
- Clicking "I Agree", "Accept", "Continue", or any equivalent button on the Website.
- Creating an account or registering on the Website.
- Submitting any form, enquiry, or request through the Website.
- Making or enquiring about any purchase through the Website.
If you do not agree to these Terms in their entirety, you must immediately cease using the Website.
1.3 Related Policies
These Terms must be read together with the following policies, each of which is incorporated by reference:

3. NATURE OF WEBSITE CONTENT: PROPERTY LISTINGS DISCLAIMER
Land Republic makes reasonable efforts to ensure the accuracy of information on the Website. However, the Website may contain typographical errors, inaccuracies, or outdated information, including in respect of property prices, availability, and specifications. Land Republic reserves the right to correct errors and update information at any time without notice.
4. INTELLECTUAL PROPERTY
4.1 Ownership
All content and materials on the Website, including but not limited to text, graphics, logos, trademarks, service marks, images, photographs, video content, audio content, software, source code, databases, architectural designs, estate renderings, and all compilations thereof (collectively, "Website Content") are the exclusive property of Land Republic Limited or its licensors, and are protected under the Copyright Act, Cap. C28, LFN 2004 (as amended), the Trade Marks Act, Cap. T13, LFN 2004, and all applicable intellectual property laws of Nigeria.
4.2 Limited Licence
Subject to your compliance with these Terms, Land Republic grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website and its Content solely for your personal, non-commercial purpose. This licence does not permit you to:
- Reproduce, copy, distribute, publish, or transmit any Website Content without Land Republic's prior written consent.
- Modify, adapt, translate, reverse engineer, disassemble, or create derivative works from any Website Content or software.
- Remove, alter, or obscure any copyright, trademark, or proprietary notice on the Website.
- Use any Website Content for commercial purposes without written authorisation.
- Frame or mirror any Website Content on any other website or digital platform.
4.3 Enforcement
Infringement of Land Republic's intellectual property rights may constitute a criminal offence under the Copyright Act and the Cybercrimes Act 2015. Land Republic reserves all rights to take civil and criminal enforcement action against infringers.
4.4 User-Submitted Content
Where you submit, upload, or post any content to the Website, you grant Land Republic a non-exclusive, royalty-free, perpetual, irrevocable, worldwide licence to use, reproduce, modify, display, and distribute that content for any legitimate business purpose. You represent and warrant that you own or have the necessary rights in all content you submit.
5. ACCEPTABLE USE POLICY
Your use of the Website must comply with all applicable Nigerian laws and these Terms at all times. Land Republic reserves the right to report any suspected criminal conduct on the Website to the Economic and Financial Crimes Commission (EFCC), the Nigerian Police Force, or any other competent authority without prior notice.
6. USER ACCOUNTS
Where the Website requires or permits you to create an account, the following applies:
- You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.
- You must provide accurate, current, and complete information at registration and update it promptly when it changes.
- You must notify Land Republic immediately at support@landrepublic.co if you suspect unauthorised access to or use of your account.
- Land Republic shall not be liable for any loss arising from your failure to secure your account credentials.
- You may not create more than one account, transfer your account to another person, or create an account in another person's name without their express written consent.
- Land Republic reserves the right to suspend or permanently delete any account that is found to be in breach of these Terms.
7. THIRD-PARTY LINKS AND SERVICES
The Website may contain links, embedded content, maps, payment gateways, social media plugins, or other integrations operated by third parties ("Third-Party Services").
- Land Republic does not control, endorse, or assume any responsibility for the content, accuracy, privacy practices, or availability of any Third-Party Services.

- Land Republic shall not be liable for any loss or damage arising from your use of or reliance on any Third-Party Service.
8. WEBSITE AVAILABILITY AND TECHNICAL ISSUES
- The Website is provided on an "as is" and "as available" basis without warranties of any kind, to the fullest extent permitted by Nigerian law.
- Land Republic does not warrant that the Website will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
- The Website may be temporarily unavailable due to maintenance, upgrades, third-party infrastructure failures, cyberattacks, or causes beyond Land Republic's reasonable control.
- You are responsible for ensuring that your device, software, and internet connection are adequate and secure for accessing the Website.

9.3 Your Consent Rights Under NDPA 2023

10. DATA PROTECTION AND YOUR RIGHTS
10.1 Legal Basis for Data Processing
Land Republic Limited processes your personal data as a Data Controller in accordance with the Nigeria Data Protection Act (NDPA) 2023 and the Nigeria Data Protection Regulation (NDPR) 2019. Personal data is processed on the bases of: performance of contract, legitimate interest, consent, and legal obligation.
10.2 Your Rights Under the NDPA 2023
As a data subject, you have rights including: right of access, right to rectification, right to erasure, right to restriction of processing, right to data portability, right to object, and rights related to automated decision-making. Land Republic shall respond to all data rights requests within 30 (thirty) days of receipt.
10.3 Data Retention
Land Republic retains personal data only for as long as necessary. Transaction-related data may be retained for up to 7 (seven) years to comply with FIRS requirements and anti-money laundering obligations. Marketing data is retained until you withdraw consent or request erasure.
10.4 Data Security
Land Republic implements appropriate technical and organisational security measures including encryption, access controls, regular security assessments, and staff training. Land Republic shall notify you and the NDPC of any data breach affecting your rights within 72 (seventy-two) hours of discovery.
11. LIMITATION OF LIABILITY
- Land Republic shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or in connection with your use of the Website.
- Land Republic shall not be liable for any loss arising from reliance on property listing information published on the Website before a Subscription Agreement is executed.
- Land Republic shall not be liable for any loss arising from the acts or omissions of third parties.
- Land Republic shall not be liable for any loss arising from a cyberattack or data breach that occurs despite appropriate security measures.
- Land Republic's total aggregate liability shall not exceed the lesser of: (a) the total fees paid by you to Land Republic in the 12 months preceding the event; or (b) N100,000 (One Hundred Thousand Naira).
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Land Republic Limited, its directors, officers, employees, agents, affiliates, licensors, and successors from and against any and all claims, losses, damages, liabilities, costs, and expenses arising out of or relating to:
- Your access to or use of the Website.
- Your violation of any provision of these Terms.
- Your violation of any applicable Nigerian law or regulation.
- Your infringement of any intellectual property, data protection, or other right of Land Republic or any third party.
- Any false representation or warranty you make in connection with your use of the Website.
13. TERMINATION AND SUSPENSION
Land Republic reserves the right to suspend, restrict, or terminate your access to the Website. Such action may be taken where you have breached these Terms, committed fraud or criminal activity, or where required by a competent authority. Upon termination, your licence to use the Website ceases immediately. Provisions that survive termination include intellectual property, indemnification, limitation of liability, and dispute resolution.
14. FORCE MAJEURE
Land Republic shall not be liable for any failure or delay in performing its obligations where such failure is caused by events beyond its reasonable control, including acts of God, natural disasters, power outages, telecommunications failures, cyberattacks, acts of government, epidemic or pandemic, or industrial action.
15. AMENDMENTS TO THESE TERMS
Land Republic reserves the right to amend these Terms at any time. Land Republic will make reasonable efforts to notify registered users of material changes at least 14 (fourteen) days before the amendment takes effect. Your continued use of the Website after the effective date constitutes your acceptance of the amended Terms.
16. DISPUTE RESOLUTION
16.1 Internal Resolution
Any dispute should first be submitted to Land Republic's Customer Experience Team at support@landrepublic.co. Land Republic shall endeavour to resolve the matter within 21 (twenty-one) business days.
16.2 Regulatory Complaint
You may file a complaint with: the Federal Competition and Consumer Protection Commission (FCCPC) at www.fccpc.gov.ng; the Nigeria Data Protection Commission (NDPC) at www.ndpc.gov.ng; or the National Information Technology Development Agency (NITDA) at www.nitda.gov.ng.
16.3 Arbitration
Where internal resolution is unsuccessful, any dispute shall be finally resolved by binding arbitration under the Arbitration and Mediation Act 2023. The seat of arbitration shall be Lagos, Nigeria. The language shall be English.
17. GENERAL PROVISIONS
17.1 Governing Law
These Terms are governed by and shall be construed in accordance with the laws of the Federal Republic of Nigeria. The courts of Lagos State shall have non-exclusive jurisdiction.
17.2 Entire Agreement
These Terms, together with the Privacy Policy, Payment Protection and Refund Policy, Resale Policy, and any other incorporated policy, constitute the entire agreement between you and Land Republic regarding your use of the Website.
17.3 Severability
If any provision of these Terms is held invalid, such provision shall be severed and the remaining provisions shall continue in full force and effect.
17.4 No Waiver
No failure or delay by Land Republic in exercising any right under these Terms constitutes a waiver of that right.
17.5 Consumer Rights Preservation
Nothing in these Terms derogates from any mandatory statutory right available to you under the Federal Competition and Consumer Protection Act (FCCPA) 2018.
17.6 Electronic Notice
All notices given by Land Republic under these Terms shall be provided by posting on the Website, by email, or by such other electronic means as Land Republic may reasonably determine.
17.7 Assignment
Land Republic may assign its rights and obligations under these Terms to any affiliate, successor entity, or purchaser of its business, provided that your rights are not diminished. You may not assign your rights without Land Republic's prior written consent.
